Where a service legally requires a licensed professional — such as a registered auditor, tax agent or legal consultant — it may be provided by, or in coordination with, an independent licensed third party. The Company is not a law firm and does not provide legal advice.
04
Our Role as Facilitator
We act as a consultant, registered agent and facilitator between you and the relevant Authorities. We prepare and submit applications based on the information and documents you provide, and follow them up on your behalf.
However, all final decisions — including the approval of trade names, licences, business activities, visas, Golden Visas, bank accounts and tax registrations — rest solely with the relevant Authorities and banks. We therefore cannot guarantee any approval, outcome or timeline, and we are not responsible for decisions, requirements or delays imposed by them.
05
Quotations, Fees & Pricing
Quotations are prepared on the basis of the information you provide and are valid for three (3) days from the date of issuance, unless stated otherwise on the quotation.
All Government Fees are charged as per actual. They are set by the Authorities and may change at any time without notice; any increase, new charge or additional requirement introduced by an Authority will be payable by you.
If your requirements change (for example, extra activities, shareholders, visas or amendments), the quotation will be revised accordingly.
VAT at 5% is applicable on all our service charges, in line with UAE VAT law.
Discounts, promotions and special offers are subject to their own conditions, apply only for the period stated and cannot be combined unless we confirm otherwise in writing.
Prices shown on our website, in advertising or in promotions are indicative only and do not constitute an offer. We may correct any typographical or calculation error in a quotation or invoice.
06
Payment Terms
Work begins once we receive the payment stated on your invoice (full payment or the agreed advance) and all required documents.
We accept payment via bank transfer, cash, and card or payment link, or any other method we confirm in writing. Payments are made in UAE Dirhams (AED) unless agreed otherwise, and any bank or transfer charges are borne by you.
A 3% bank charge applies to payments made by card or payment link.
Late, partial or failed payments may delay or suspend processing. We are not responsible for any fines, penalties or lost opportunities that result.
Recurring services such as accounting, bookkeeping, tax filing and renewals are invoiced according to the agreed schedule and must be paid by the due date.
07
Client Responsibilities
To help us deliver your service smoothly, you agree to:
Provide accurate, complete, genuine and valid documents and information, and inform us promptly of any change.
Supply the information needed for “Know Your Customer” (KYC), anti-money-laundering and beneficial ownership checks required by Authorities and banks.
Carry out only lawful business activities that match the activities on your licence.
Respond to our requests, and attend appointments such as medical tests, biometrics and bank meetings, on time.
Meet your ongoing compliance obligations — such as licence and visa renewals, tax registrations and filings — unless you have engaged us in writing to manage them.
Review every application, licence, certificate and document we prepare or obtain for you, and tell us promptly of any error.
We are not responsible for any rejection, delay, fine or loss caused by incorrect, incomplete, misleading or late information or documents. You remain solely responsible for your business, its activities and its legal and regulatory compliance.
08
Timelines & Service Delays
Any processing times we mention — on our website, in advertising or in a quotation — are estimates based on standard processing by the Authorities. Actual timelines depend on the Authorities, banks, public holidays, system availability, additional document requests and how quickly we receive what we need from you.
Actual processing time is always subject to government review and approval. We will make reasonable efforts to keep you informed of progress, but timelines are not guaranteed and we are not responsible for delays outside our reasonable control.
09
Refunds & Cancellations
Service Fees charged by the Company are non-refundable, unless otherwise mutually agreed in writing.
Government Fees paid on behalf of the client are refundable only if the respective Authority approves the refund. The processing time for such refunds depends on that Authority.
A rejection or refusal by an Authority or bank does not by itself entitle you to a refund of fees already used. We may, at our discretion, advise you on alternative options.
Cancellation and refund requests must be sent in writing to info@ripplellc.ae. Any approved refund is paid in AED to the original payment method where possible, less any bank, transfer or processing charges and, for Government Fees, only after the Company has received the refunded amount from the relevant Authority.
10
Confidentiality & Data Protection
We treat your personal information, documents and business details as confidential. We use them only to provide the Services you request, and we share them only with Authorities, banks and service providers where this is necessary to complete your matter, or where we are required to do so by law.
We take reasonable measures to protect your information and handle personal data in line with applicable UAE laws. However, no method of electronic transmission or storage is completely secure, and documents you send by email, WhatsApp or other messaging services are sent at your own risk. We may retain records for as long as required by law or for legitimate business purposes. By engaging us, you consent to this use, sharing and retention of your information.
11
Limitation of Liability & Indemnity
Invoice clause
Kindly note that by receiving our invoice, the following terms are understood and accepted.
Ripple Fast Business Setup Services LLC will not be held responsible for any indirect, incidental, or consequential damages arising from the services provided. The client agrees to indemnify and hold harmless Ripple Fast Business Setup Services LLC — including its employees, affiliates, and both current and former partners or shareholders — against any claims, losses, or liabilities resulting from the use of our services, documentation, or third-party reliance.
Limitation of liability
The Company shall not be held liable for any losses, delays, penalties or additional costs arising due to government delays, rejections, policy changes, or delays from the client's side.
To the fullest extent permitted by UAE law, the Company shall not be liable for any indirect, incidental, special or consequential loss, including loss of profit, revenue, business or opportunity. Where the Company is found liable for any direct loss, its total liability shall not exceed the Service Fees actually paid by you for the specific service giving rise to the claim.
No advice, guidance or information, whether verbal or written, given by the Company or its staff creates any warranty or liability that is not expressly stated in these Terms. Any claim against the Company must be notified to us in writing, with full details, within thirty (30) days of the event giving rise to it.
These limitations apply to the maximum extent permitted by UAE law. Nothing in these Terms excludes any liability that cannot lawfully be excluded.
Indemnity
You agree to indemnify and hold harmless the Company, its employees, affiliates and current and former partners or shareholders against any claims, losses, penalties, costs or liabilities arising from your use of our Services or documentation, your business activities, any information you provide, or reliance by any third party.
12
Force Majeure
These Terms remain applicable under all circumstances, including service delays, external disruptions, or unforeseen events beyond our control. The Company is not liable for any failure or delay caused by events such as changes in law or government policy, system outages at Authorities or banks, natural events, pandemics, strikes, or any other cause outside its reasonable control.
13
Third-Party Services
Some Services involve third parties such as free zones, government departments, banks, auditors, insurers, translators and courier companies. Their services are governed by their own terms, fees and timelines, and the Company is not responsible for their acts, omissions or decisions. Links to third-party websites are provided for convenience only and do not mean we endorse them.
14
Website Use & Intellectual Property
The content on our website, including articles, guides, prices and FAQs, is provided for general information only. It may not reflect the latest regulations and does not constitute legal, tax or financial advice. Please contact us for advice specific to your business before making decisions. We do not warrant that the website will be error-free or uninterrupted, and we are not liable for any loss arising from its use or from reliance on its content.

It may not be copied, reproduced or used for commercial purposes without our prior written permission. You agree not to misuse the website or attempt to disrupt its operation.
15
Suspension & Termination
Either party may end an engagement by giving written notice. Fees for work already performed, and any Government Fees already paid or committed, remain payable.
We may suspend or stop providing Services immediately if payments are not made, if information provided is false or misleading, if you fail to complete required compliance checks, or if we reasonably believe that continuing would breach any law or regulation. We may also decline or withdraw from any engagement at our discretion.
16
Governing Law & Jurisdiction
These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. Both parties will first try to resolve any concern amicably — please contact us so we can help. Any dispute that cannot be settled amicably shall be subject to the exclusive jurisdiction of the courts of Dubai.
17
Changes to These Terms
We may update these Terms from time to time to reflect changes in our services or in UAE regulations. The latest version will always be published on this page with its “last updated” date. Continued use of our website or Services after an update means you accept the revised Terms.
